1. Website Use & Preliminary Scoping

The materials, concept showcases, and interactive tools (including the Idea Starter and Idea Brief Builder) provided on this website are designed for educational, informational, and exploratory discussion purposes. Generating an Idea Brief or submitting an inquiry does not constitute a binding development contract or formal quotation until formalized in an executed Statement of Work (SOW).

2. Feasibility, Timelines & No Fixed Guarantees

Software engineering involves complex variables including third-party APIs, operating systems, and network infrastructure. Consequently, ProTechnologies does not provide arbitrary fixed prices or guaranteed completion dates without an in-depth requirements discovery and feasibility analysis. All timelines and milestone schedules agreed upon in formal contracts reflect mutually negotiated good-faith estimates.

3. Intellectual Property Rights

Unless expressly agreed otherwise in a signed contract:

• Client Software: Upon complete settlement of all agreed milestone invoices, the client receives full ownership of custom application source code, database architectures, and project-specific assets developed specifically for their engagement.
• ProTechnologies Pre-existing Frameworks: Generalized helper libraries, open-source utilities, and architectural scaffolding utilized across engagements remain the property of ProTechnologies or their respective open-source licensors, granted to the client under royalty-free, perpetual operational licenses.
• Proprietary Digital Products: Tools and products incubating under ProTechnologies (such as ProDev Tracker or IdeaForge Studio) remain the exclusive intellectual property of ProTechnologies.

4. Client Collaboration Responsibilities

Timely project delivery depends upon proactive collaboration. Clients agree to provide necessary domain information, review milestone deliverables through our client portal, and furnish feedback within reasonable timeframes to maintain sprint momentum.

5. Limitation of Liability

In no event shall ProTechnologies, its partners, or developers be liable for indirect, incidental, or consequential damages resulting from the use or inability to use this website or external services linked herein.

6. Applicable Law & Dispute Resolution

These terms and any subsequent contractual relationships shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria. The parties agree to pursue constructive dialogue and informal mediation before seeking judicial redress.
